Membership, Events & Travel Experiences
These Terms & Conditions ("Agreement") govern all participation in The Bronze Suite membership community, events, and travel experiences. By registering, purchasing, applying, or participating in any offering, you agree to be bound by these Terms & Conditions, including Exhibit A – Travel Addendum, which is incorporated by reference.
"The Bronze Suite," "we," "us," and "our" refer to The Bronze Suite, LLC, a Maryland limited liability company.
"You," "Member," "Attendee," or "Traveler" refers to the individual booking, registering, or participating, and all members of their group.
NO PERSONAL LIABILITY / INDIVIDUAL CAPACITY
You expressly acknowledge and agree that The Bronze Suite, LLC is the sole contracting party. No individual owner, founder, manager, member, officer, director, employee, contractor, volunteer, host, or representative of The Bronze Suite, including Tori Soudan, individually, is contracting in a personal capacity or shall have personal liability for any claims, obligations, or disputes arising from this Agreement, to the fullest extent permitted by law.
These Terms & Conditions, together with any invoices, itineraries, brochures, applications, correspondence, Supplier terms, and the Travel Addendum, constitute the entire agreement between you and The Bronze Suite.
By submitting payment, applying for membership, registering for an event, or booking travel, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions.
If you act on behalf of others, you represent that you are authorized to bind all participants.
Membership in The Bronze Suite is a private, curated community and is a privilege, not a right.
Membership is offered on an annual subscription basis unless otherwise stated.
ALL MEMBERSHIP FEES ARE NON-REFUNDABLE, regardless of participation, usage, renewal, suspension, or termination.
Membership does not include attendance at events or participation in travel experiences unless expressly stated in writing. Events and travel require separate registration, acceptance, and fees.
Membership offerings, communications, access, and programming may evolve. No guarantees are made regarding frequency, format, speakers, locations, access, or outcomes.
The Bronze Suite may decline, suspend, or revoke membership at its sole discretion for conduct inconsistent with community values or standards. No refund is due.
Membership is personal and may not be transferred, assigned, shared, or resold.
Membership materials, communications, and community content are proprietary and confidential and may not be reproduced or distributed without written consent.
Events are optional, capacity-limited experiences and are separate from Membership and Travel.
All event fees, tickets, and deposits are NON-REFUNDABLE, regardless of attendance, changes, rescheduling, or cancellation, except where required by law.
The Bronze Suite may modify, reschedule, relocate, or cancel events for any reason, including venue, speaker, safety, or force majeure concerns. Such changes do not entitle attendees to refunds.
The Bronze Suite reserves the right to deny entry or remove any individual for disruptive, unsafe, or inappropriate conduct, without refund.
Attendees grant permission for photography, video, and audio recording for promotional and commercial use without compensation.
If you register for or participate in any travel experience, your participation is additionally governed by the Travel Addendum (Booking Agreement – Terms & Conditions) attached as Exhibit A and incorporated by reference.
In the event of any conflict, the Travel Addendum controls with respect to travel-related matters.
The Bronze Suite is not liable for delays, changes, or cancellations caused by events beyond its control, including acts of God, pandemics, government actions, labor disputes, security concerns, or similar circumstances.
No refunds are required. Any credits offered are solely at The Bronze Suite's discretion.
You acknowledge that participation in Membership activities, Events, and Travel involves inherent risks. You voluntarily assume all such risks and fully release and hold harmless The Bronze Suite, LLC, its members, managers, officers, directors, employees, agents, affiliates, successors, assigns, including Tori Soudan, individually, Suppliers, venues, and partners from all claims, damages, losses, or liabilities to the fullest extent permitted by law.
This release binds your heirs, assigns, and legal representatives.
You agree to indemnify, defend, and hold harmless The Bronze Suite, LLC, and its past, present, and future members, managers, officers, directors, employees, contractors, agents, representatives, affiliates, successors, assigns, volunteers, including Tori Soudan, individually (collectively, the "Indemnified Parties"), from and against any and all claims, demands, damages, liabilities, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
This obligation survives termination and completion of participation.
You authorize all charges and agree not to initiate improper chargebacks. Disputes must be resolved pursuant to this Agreement. Improper chargebacks may result in cancellation of access and recovery of associated costs, including attorneys' fees.
You agree not to knowingly make false or misleading statements of fact that materially harm The Bronze Suite's reputation or business interests. Truthful statements made in good faith or disclosures required by law are permitted. The Bronze Suite may seek injunctive relief and actual damages.
Any dispute arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration in the State of Maryland, conducted on an individual basis. You waive the right to a jury trial and any class or representative action.
This Agreement is governed by the laws of the State of Maryland. Any permitted court proceedings shall be brought exclusively in Maryland.
All provisions relating to non-refundability, waivers, releases, indemnification, dispute resolution, governing law, confidentiality, and non-disparagement survive termination or completion of participation.
This Agreement constitutes the entire agreement between the parties and supersedes all prior communications. If any provision is deemed unenforceable, the remaining provisions remain in full force.

This Travel Addendum governs all travel experiences offered by The Bronze Suite, LLC.
All deposits and payments for travel experiences are NON-REFUNDABLE, regardless of cancellation, changes, non-attendance, early departure, or force majeure, except where required by law.
The Bronze Suite pays Suppliers well in advance. Any assistance with credits or recoveries is a courtesy only.
No refunds, credits, or vouchers are guaranteed, and The Bronze Suite is not responsible for Supplier insolvency or failure to honor requests.
If The Bronze Suite cancels a departure (other than due to force majeure), it may offer alternative arrangements or a travel credit at its sole discretion. Refunds are not required.
No refunds will be issued for unused services, missed transfers, no-shows, or early departure.
Hotels and accommodations may be substituted at The Bronze Suite's discretion. No refunds are offered for substitutions or over-bookings.
Missed transfers result in no refund. Accurate flight information must be provided no less than 21 days prior to departure.
Special dietary requests are communicated only. The Bronze Suite does not guarantee accommodation and assumes no liability for food allergies or dietary restrictions.
Itineraries may change due to weather, safety, holidays, renovations, or unforeseen events. Such changes do not constitute grounds for cancellation or refund.
Traveler is solely responsible for passports, visas, vaccinations, and entry requirements. Denied boarding or entry does not entitle Traveler to any refund.
Airfare is not included. The Bronze Suite is not responsible for airline fees, baggage charges, delays, or cancellations.
Suppliers are independent contractors. The Bronze Suite does not control Supplier operations and is not liable for their acts, omissions, or failures.
Traveler assumes all risks inherent in travel and releases The Bronze Suite, LLC, its representatives, affiliates, including Tori Soudan, individually, and Suppliers from all claims to the fullest extent permitted by law.
All non-refundability, waiver, release, and indemnification provisions survive completion or termination of travel.
